Marketplace terms

AdsPals is a marketplace that connects advertisers with creators who rent out advertising space on their own social profiles. We are not the publisher of the advertising and we are not an advertising agency.

What you are buying

A booking is one placement: a single image post or Reel published to one creator’s Instagram account, which must stay live for at least 7 days. Which of the two you get is what you booked and paid for. After that minimum period the creator is free to leave it up, archive it or remove it; nothing obliges them either way, and nothing removes it for them. Nothing else is included. We do not guarantee impressions, clicks, engagement, reach or outcomes of any kind.

Your post

• You are responsible for what your post says and for anything it links to.
• Your post must follow our advertising rules and Instagram’s own rules.
• We add the required advertising disclosure automatically. You may not ask a creator to remove it.
• Once you have paid, the post cannot be edited. The creator can only accept it or decline it.

Creator approval

Creators are free to decline any booking for any reason. A decline is not a failure on your part, and the post price always comes back. The booking fee does not: it pays for taking the payment and moving the money, and that happened either way.

Money

Payments are processed by Stripe. AdsPals holds the payment for the duration of the booking and releases the creator’s share only after the placement has been served. Our fee is 20% or 15% of the booking value, depending on the creator’s choice, and is included in the price you see.

Content made for you (UGC)

Some creators sell content they make for you to use yourself. Nothing is posted on their profile: they make it, hand it over, and you keep it. The creator sets how long they need, and that turnaround is shown to you before you buy. Where you are sending a physical product, their time starts when it reaches them, not when you paid.

When an order is approved, you get a worldwide, perpetual licence to use that content on organic social, on paid social and advertising, on your own website and in your own email marketing. You may edit, crop, caption, resize and otherwise adapt it for those purposes. Where the creator appears in it, the licence covers their image, voice and likeness as part of that content. There is no end date and no renewal.

Copyright stays with the creator. You may not resell the content, sublicense it, or pass it to another brand. Agencies and contractors may use it, but only while acting for the brand that bought it. The licence is not exclusive unless separately agreed in writing.

The licence begins on approval, and only on approval. Not on delivery and not on payment. You have 3 days from delivery to approve the work, ask for a change, or reject it. If you do nothing in that time it is approved automatically and the creator is paid.

Every order includes 1 revision where what was delivered does not meet the brief you gave. You cannot reject finished work because you have changed your mind about what you wanted. A refund is available where the creator materially failed to follow the agreed brief, failed to deliver at all, or cannot or will not fix something the original brief covered.

Where a delivery is rejected, AdsPals decides. We read the brief against what was delivered. If the creator did what was asked, the payment is released to them and the order stands. If they did not, you are refunded. We are not neutral about this and do not pretend to be.

If an order is refunded or cancelled, no licence is granted. You must stop using the content and remove anything you have already published from it. The creator keeps the work and every right in it.

Refunds

See the refund policy. In short: if the booking is not accepted and published, you do not pay for the placement.

Suspension

We may cancel a booking, remove a listing or suspend an account where we believe these terms or the advertising rules have been broken. Where we cancel a paid booking, we refund it.

Liability

Our liability for any booking is limited to the amount paid for that booking. We do not exclude liability that cannot be excluded by law.
